1. Introduction
Welcome to ReFi Technologies ("ReFi Technologies," "we," "our," or "us").
This User Agreement ("Agreement") governs your access to and use of our website located at https://refi2.com (the "Site"), including all content, features, staking contracts, token interfaces, and related services (collectively, the "Services").
By using the Services, connecting your wallet, or engaging with the REFI2 or sREFI2 smart contracts, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, our Privacy Policy, and any additional terms applicable to specific features.
If you do not agree, please discontinue use of the Services immediately.
2. Eligibility
To use our Services, you represent and warrant that:
- •You are at least 18 years old (or the age of majority in your jurisdiction).
- •You have full legal capacity and authority to enter into this Agreement.
- •You are not a resident, citizen, or entity located in any jurisdiction where the use or offering of our Services is restricted, including but not limited to the United States of America and Canada.
- •You are not subject to sanctions, blacklists, or restricted-party lists maintained by any governmental authority.
- •You are using the Services for lawful purposes only.
ReFi Technologies reserves the right to deny or terminate access to the Services if these requirements are not met.
3. Nature of the Services
ReFi Technologies provides blockchain-based technology services enabling users to:
- •Acquire, hold, and transfer the REFI2 utility token;
- •Stake REFI2 tokens to receive sREFI2, which represents participation in a fixed-yield staking contract; and
- •View, claim, and manage accrued staking rewards transparently through the blockchain interface.
ReFi Technologies does not provide financial advice, brokerage, or custodial services.
You are solely responsible for understanding the functionality and risks associated with blockchain transactions.
4. Token Functionality
A. REFI2 Token
- •The REFI2 Token is a utility token issued by ReFi Technologies, designed to facilitate access to yield participation mechanisms within the ecosystem.
- •It is not a security, share, or investment contract and does not grant any ownership, profit-sharing, voting, or equity rights.
- •REFI2 may be freely transferable and tradable on decentralized exchanges ("DEXs"), subject to applicable laws and exchange policies.
B. sREFI2 Token
- •The sREFI2 Token represents a staked version of REFI2 that accrues yield via the protocol's smart contracts.
- •Only KYC-approved users may stake REFI2 to receive sREFI2.
- •sREFI2 is non-transferable and can only be redeemed for REFI2 plus accrued yield according to staking contract rules.
- •Yield is paid from income streams generated by ReFi Technologies' investment structure and does not represent a guarantee of profit.
5. Wallet Connection & Transactions
- •You must connect a compatible Web3 wallet (e.g., MetaMask, WalletConnect, etc.) to use the Services.
- •You retain sole control over your private keys, wallet, and digital assets. ReFi Technologies does not custody, recover, or control user wallets.
- •All blockchain transactions are irreversible and recorded publicly on the applicable network.
- •You acknowledge that transaction failures, network congestion, or smart contract errors may cause delays or losses.
- •You are solely responsible for verifying transaction details before confirming.
6. KYC/AML Compliance
To comply with international financial regulations, ReFi Technologies requires Know Your Customer (KYC) and Anti-Money Laundering (AML) verification for staking participants.
You agree to:
- •Provide accurate and complete identification information;
- •Undergo verification via approved third-party providers (e.g., SumSub or equivalent); and
- •Promptly update your information if it changes.
Failure to pass or maintain KYC compliance may result in denial or termination of access to staking and related features.
7. Prohibited Activities
You agree not to engage in any of the following:
- •Use the Services for illegal, fraudulent, or deceptive purposes;
- •Circumvent or attempt to bypass KYC/AML restrictions;
- •Use automated systems or bots to interact with smart contracts;
- •Attempt to hack, reverse-engineer, or disrupt the Services;
- •Infringe upon intellectual property or proprietary rights; or
- •Use the Services in a jurisdiction where participation is prohibited by law.
Any violation of these terms may result in suspension, permanent account restriction, or legal action.
8. Yield and Staking Terms
- •Staking rewards are calculated and distributed according to the smart contract's programmed logic and network rules.
- •Yield rates (e.g., 8% APY) are targeted but not guaranteed and may be adjusted based on operational conditions.
- •Accrued yield is viewable and claimable by the user directly via the staking interface.
- •Early unstaking or redemption may result in reduced yield or administrative fees where applicable.
- •ReFi Technologies reserves the right to modify staking parameters, subject to notice provided through the Site or blockchain interface.
9. Disclaimers
A. No Financial Advice
ReFi Technologies does not provide investment, legal, or tax advice.
All token-related activities involve risk, including potential loss of value. You should seek professional advice before participating.
B. Blockchain Risk
Transactions occur on decentralized networks that are beyond our control. Smart contract errors, forks, or attacks may lead to permanent loss of assets.
C. Regulatory Risk
Digital asset regulations vary globally and may change.
You are responsible for ensuring your participation complies with applicable local laws.
D. No Guarantee of Performance
Yield, staking, or token values may fluctuate. Past performance does not indicate future results.
10. Intellectual Property
All content on the Site, including text, graphics, logos, code, and user interface design, is the intellectual property of ReFi Technologies or its licensors and is protected by international copyright and trademark laws.
You may not copy, distribute, or create derivative works without express written consent.
11. Limitation of Liability
To the fullest extent permitted by law:
- •ReFi Technologies and its affiliates, officers, and agents shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or digital assets.
- •Our aggregate liability shall not exceed the lesser of (a) the amount you have paid to us in the prior 12 months, or (b) USD $500.
- •We are not responsible for losses arising from smart contract bugs, blockchain congestion, network outages, or user error.
12. Indemnification
You agree to indemnify, defend, and hold harmless ReFi Technologies, its affiliates, and personnel from any claims, liabilities, or damages (including legal fees) arising from:
- •Your use of the Services;
- •Violation of this Agreement; or
- •Breach of applicable laws or third-party rights.
13. Termination
ReFi Technologies may, at its discretion, suspend or terminate your access to the Services if:
- •You violate any provision of this Agreement;
- •Regulatory obligations require restriction; or
- •Fraud, abuse, or security concerns are identified.
Upon termination, your right to use the Services will immediately cease.
Blockchain records, however, will remain immutable.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.
Any disputes shall be settled by binding arbitration conducted in Ontario, Canada.
Each party shall bear its own costs unless otherwise determined by the tribunal.
15. Changes to this Agreement
We may modify this Agreement from time to time.
Updated terms will be posted on the Site with a new effective date.
Your continued use of the Services after such updates constitutes acceptance of the revised Agreement.
